1. Acceptance
This End-User License Agreement ("EULA") is a legally binding contract between you or the entity you represent ("Customer", "you") and Tutsin Consulting sp. z o.o., a company incorporated in Poland (MarszaΕkowska 107, 00-110 Warsaw), the developer and provider of pay-link.net ("Tutsin", "we", "us").
By registering for, accessing, or using the pay-link.net software and services (the "Software" or "Service"), you acknowledge that you have read, understood, and agree to be bound by this EULA and by the Terms of Use. If you do not agree, do not access or use the Software.
2. Definitions
- "Software" / "Service" β the pay-link.net web application, hosted payment pages, dashboard, APIs, webhooks, documentation, and any updates or new features made available by Tutsin.
- "Payment Link" β a shareable URL generated through the Software that directs a Payer to a hosted payment page.
- "Payment Gateway" / "PSP" β a third-party payment service provider connected by the Customer (for example Worldpay, TSYS, Elavon, Braintree, or Authorize.Net).
- "Subscription" β a time-limited right to use the Software under the Free, Pro, or other plan selected by the Customer.
- "End Users" β employees, contractors, or agents of the Customer who access the Software under the Customer's account.
3. License Grant
Subject to your compliance with this EULA and the Terms of Use, and to timely payment of applicable fees, Tutsin grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software via its web interface and published APIs, solely for the Customer's internal business purposes during the Subscription term.
This licence extends to the Customer's authorised End Users, for whom the Customer remains responsible. The licence is limited to the plan, usage limits, and features associated with the Customer's active Subscription.
4. Hosted Access β No Software Delivery
The Software is provided exclusively as a hosted, cloud-based application. This EULA grants a right to access and use the hosted Software only. It does not transfer or license to the Customer any:
- Source code, compiled binaries, or object code;
- Database schemas, data models, or configuration files; or
- Any other downloadable software component.
The Customer receives no copy of the Software and acquires no right to install, host, or run the Software on its own or any third party's infrastructure.
5. Scope of Permitted Use
Within the licence granted above, the Customer may:
- Create, configure, and share Payment Links and branded hosted payment pages;
- Connect its own Payment Gateway account(s) and manage transactions initiated through the Software;
- Access the dashboard, reporting, and APIs consistent with its plan; and
- Permit its authorised End Users to use the Software on its behalf.
Any use beyond the scope expressly permitted here requires Tutsin's prior written consent.
6. License Restrictions
Except as expressly permitted by this EULA or by applicable law that cannot be excluded, the Customer must not, and must not permit any End User or third party to:
- Reverse engineer: Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Software.
- Copy or create derivatives: Copy, reproduce, modify, translate, or create derivative works of the Software.
- Resell or sublicense: Sell, resell, rent, lease, sublicense, distribute, transfer, or otherwise commercialise the Software or access to it to any third party.
- Build a competing product: Use the Software, or any observation of its functionality, to build or operate a product or service that competes with pay-link.net.
- Remove notices: Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software.
- Circumvent limits: Circumvent or attempt to circumvent usage limits, plan restrictions, rate limits, or security or access controls.
- Automated abuse: Use bots, scrapers, or automated means to access the Software in a way that exceeds documented API limits or disrupts service for others.
- Unlawful use: Use the Software in violation of applicable law, PSP acceptable-use policies, or card network rules.
7. API & Integration Use
Where the Customer uses the pay-link.net APIs or webhooks, it must do so in accordance with the published documentation and any applicable rate limits. API credentials are confidential; the Customer is responsible for keeping them secure and for all activity conducted with them.
Tutsin may modify, version, deprecate, or impose limits on the APIs. Tutsin will use commercially reasonable efforts to give advance notice of breaking changes to actively used API features.
8. Ownership & Intellectual Property
The Software, including all source code, algorithms, designs, user interfaces, trademarks, and documentation, is and remains the exclusive property of Tutsin Consulting sp. z o.o. and its licensors. This EULA licenses the Software; it does not transfer any ownership rights.
All rights not expressly granted to the Customer are reserved by Tutsin. The Customer retains ownership of its own brand assets (logos, colours, business name) uploaded to brand its payment pages, and grants Tutsin a limited licence to display them solely to provide the Software.
Any feedback, suggestions, or improvement ideas the Customer provides may be used by Tutsin without restriction or compensation.
9. Updates & Availability
Tutsin may update, enhance, modify, or discontinue features of the Software at any time. Updates are provided under this EULA unless accompanied by separate terms. Material changes that adversely affect the Customer's use will be communicated with at least 30 days' prior notice.
Tutsin will use commercially reasonable efforts to maintain availability of the Software. Any uptime commitments are set out in a separate Service Level Agreement (SLA), if applicable.
10. Term & Termination
This EULA takes effect when you first access the Software and continues for as long as your Subscription remains active.
The licence granted under this EULA terminates automatically upon:
- Expiry or cancellation of the Customer's Subscription;
- The Customer's material breach of this EULA or the Terms of Use that is not cured within 14 days of notice; or
- Any use of the Software that exposes Tutsin, Payers, or third parties to legal liability or security risk.
Upon termination, the Customer must immediately cease all use of the Software, and its access will be disabled. Sections 6, 8, 11, 12, and 13 survive termination.
11. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Tutsin disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Tutsin does not warrant that the Software will be error-free or uninterrupted, and does not guarantee that any transaction initiated through a Payment Link will be authorised, completed, or settled, as this depends on the Customer's Payment Gateway and factors outside Tutsin's control.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Tutsin's total cumulative liability for all claims arising under or related to this EULA shall not exceed the total subscription fees paid by the Customer to Tutsin in the twelve (12) months immediately preceding the claim.
- Tutsin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, lost or reversed payments, chargebacks, or loss of goodwill.
Nothing in this EULA limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under Polish or EU law.
13. Governing Law & Dispute Resolution
This EULA is governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland. Mandatory consumer protection rights of EU-resident consumers are not affected.
14. Changes to This EULA
Tutsin reserves the right to update this EULA at any time. Material changes will be communicated by email to the primary account contact at least 30 days before taking effect. Continued use of the Software after the effective date constitutes acceptance of the revised EULA.
