1. Acceptance of Terms
These Terms of Use ("Terms") form a legally binding contract between you or the entity you represent ("Customer", "you") and Tutsin Consulting sp. z o.o., a company incorporated in Poland (MarszaΕkowska 107, 00-110 Warsaw), the developer and provider of pay-link.net ("Tutsin", "we", "us").
By registering for, accessing, or using pay-link.net (the "Service"), you confirm that:
- You have read, understood, and agree to be bound by these Terms and by the End-User License Agreement.
- You have the authority to enter into these Terms on behalf of the Customer if acting as an employee, officer, or agent.
- The plan you select at sign-up and any associated Order Form govern the specific scope of rights granted.
If you do not agree to these Terms, do not access or use pay-link.net.
2. Definitions
- "Service" β the pay-link.net web application, hosted payment pages, dashboard, APIs, webhooks, documentation, and any updates or new features.
- "Payment Link" β a shareable URL generated through the Service that directs a Payer to a hosted payment page.
- "Hosted Payment Page" β the branded checkout page served by the Service at which a Payer submits payment details for processing by the Customer's connected Payment Gateway.
- "Payment Gateway" / "PSP" β a third-party payment service provider connected by the Customer (for example Worldpay, TSYS, Elavon, Braintree, or Authorize.Net) that authorises, processes, and settles payments.
- "Payer" β an end customer of the Customer who follows a Payment Link and submits a payment.
- "Subscription" β a time-limited right to access the Service under the Free, Pro, or other plan selected by the Customer.
- "Customer Data" β all data submitted to, or generated by, the Service on behalf of the Customer, including payment link records, transaction metadata, and user information.
- "End Users" β employees, contractors, or agents of the Customer who access the Service.
3. The Service
pay-link.net is a software-as-a-service application that lets the Customer generate shareable payment links and branded hosted payment pages that connect to the Customer's own Payment Gateway. Payments are authorised, processed, and settled by the Customer's connected PSP under that PSP's own agreement with the Customer.
The Customer is responsible for maintaining a valid, active account in good standing with each Payment Gateway it connects, and for complying with that provider's terms and with applicable payment card network rules (including PCI DSS obligations that apply to the Customer).
4. Accounts & Eligibility
To use the Service, the Customer must register an account and provide accurate, complete, and current information. The Customer is responsible for:
- Maintaining the confidentiality of account credentials and API keys.
- All activity that occurs under its account, including that of its End Users.
- Notifying Tutsin promptly of any unauthorised use of its account.
The Service is intended for use by businesses and their authorised representatives. By registering, the Customer represents that it is at least 18 years old and capable of forming a binding contract.
5. Acceptable Use
The Customer must not, and must not permit any End User or Payer to, use the Service to:
- Solicit or accept payments for any purpose that violates applicable laws, PSP acceptable-use policies, or card network rules, including fraud, money laundering, or the sale of prohibited goods or services.
- Access the Service through automated scripts, bots, or scrapers in a manner that materially exceeds normal usage patterns, exceeds documented API rate limits, or disrupts service for other customers.
- Transmit malware, viruses, or harmful code through the Service.
- Attempt to gain unauthorised access to any part of the Service, related servers, or connected networks.
- Infringe the intellectual property or privacy rights of any third party.
Additional restrictions on the licensed software are set out in the EULA. Tutsin may suspend or limit access where it reasonably believes the Customer is in breach, in order to protect the Service, Payers, or third parties.
6. Fees & Payment
6.1 Plans
The Service is offered under a Free plan and one or more paid plans (for example Pro), as described on the pay-link.net pricing page or applicable Order Form. Plan limits, features, and prices are those in effect at the time of purchase or renewal.
6.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis and renew automatically until cancelled. Annual subscriptions are non-refundable except where required by applicable law.
6.3 Taxes
All fees are quoted exclusive of VAT and other applicable taxes, which the Customer is responsible for paying.
6.4 Late or Failed Payment
Tutsin reserves the right to suspend or downgrade access to the Service if a subscription payment is overdue or fails, after reasonable notice to the Customer. Statutory interest on late payments may apply under Polish law.
6.5 Price Changes
Tutsin may change subscription fees with at least 30 days' prior notice. Continued use of the Service after the effective date constitutes acceptance of the revised fees.
7. Payment Gateways & Third-Party Services
The Service connects to, or depends on, the following categories of third-party platforms. The Customer is responsible for maintaining valid accounts, licences, and credentials for each:
- Payment Gateways β Worldpay, TSYS, Elavon, Braintree (a PayPal service), Authorize.Net, and any other PSP the Customer connects. Processing, authorisation, settlement, chargebacks, and disputes are governed by the Customer's agreement with that PSP and by applicable card network rules. pay-link.net does not store full payment card data.
- Hosting & infrastructure β the Service is operated on cloud infrastructure subject to the relevant provider's terms and SLA.
- Authentication & email providers β used for secure sign-in and transactional notifications, subject to their respective terms of service.
Tutsin is not responsible for the availability, performance, pricing changes, or policy changes of third-party services, nor for any decision by a Payment Gateway to decline, hold, or reverse a transaction.
8. Customer Data & GDPR
8.1 Ownership
The Customer retains all rights, title, and interest in and to Customer Data. Tutsin does not claim ownership of Customer Data.
8.2 Licence to Process
The Customer grants Tutsin a limited licence to host, process, and transmit Customer Data solely to the extent necessary to provide, maintain, secure, and improve the Service.
8.3 Data Processing Roles
Where Tutsin processes personal data on behalf of the Customer, Tutsin acts as a data processor and the Customer acts as the data controller under Regulation (EU) 2016/679 (GDPR). A Data Processing Agreement (DPA) is available upon request and forms part of these Terms when executed. Personal data of Payers submitted on Hosted Payment Pages is transmitted to the Customer's Payment Gateway for processing under that provider's own terms.
8.4 Data Security
Tutsin implements appropriate technical and organisational measures to protect Customer Data. No method of transmission or storage is completely secure, and Tutsin cannot guarantee absolute security.
8.5 Data Export & Deletion
Upon request, Tutsin will provide an export of Customer Data in a machine-readable format within 30 days. Upon termination, Customer Data will be retained for 90 days and then permanently deleted, unless otherwise required by law.

9. Intellectual Property
pay-link.net, including all software, source code, algorithms, designs, trademarks, and documentation, is and remains the exclusive property of Tutsin Consulting sp. z o.o. and its licensors. The Customer's rights to use the software are governed by the EULA.
The Customer retains ownership of its own brand assets (logos, colours, business name) that it uploads to brand its Hosted Payment Pages, and grants Tutsin a limited licence to display them solely to provide the Service.
Feedback, suggestions, or ideas provided by the Customer regarding the Service may be used by Tutsin without restriction or compensation, unless specifically agreed otherwise in writing.
10. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Tutsin expressly disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Tutsin does not warrant that the Service will be error-free, uninterrupted, or free from harmful components, or that all defects will be corrected.
Tutsin does not guarantee that any given transaction initiated through a Payment Link will be authorised, completed, or settled, as this depends on the Customer's Payment Gateway and factors outside Tutsin's control. The Customer is responsible for reconciling payments with its PSP records.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Tutsin's total cumulative liability for all claims arising under or related to these Terms shall not exceed the total subscription fees paid by the Customer to Tutsin in the twelve (12) months immediately preceding the claim.
- Tutsin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, lost or reversed payments, chargebacks, or loss of goodwill, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under Polish or EU law.
12. Termination
12.1 Termination by the Customer
The Customer may terminate its Subscription at any time from the account dashboard, effective at the end of the then-current billing period. No refunds are provided for prepaid periods except where required by law.
12.2 Termination for Cause
Tutsin may suspend or terminate these Terms immediately upon notice if the Customer:
- Materially breaches these Terms or the EULA and fails to cure such breach within 14 days of notice.
- Fails to pay any undisputed amount due and fails to cure within 14 days of notice.
- Uses the Service in a manner that exposes Tutsin, Payers, or third parties to legal liability or security risk.
- Becomes insolvent, enters administration, or is subject to liquidation proceedings.
12.3 Effect of Termination
Upon termination, the licence granted under the EULA ends, the Customer's access to the Service ceases, and active Payment Links may be deactivated. Sections 8.5, 9, 10, 11, 13, and 15 survive termination.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.
For Customers who are consumers resident in the European Union, mandatory consumer protection rights under the law of the Customer's country of residence are not affected.
14. Changes to These Terms
Tutsin reserves the right to update these Terms at any time. Material changes will be communicated by email to the primary account contact at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
